TV Panorama Partners with Rede INTEGRAÇÃO Communications Equity Associates (“CEA”) announced today that it advised on the structuring of a partnership between Rede Integração (“RI”), a Brazilian TV network affiliated with Rede Globo in the Triângulo Mineiro region, and TV Panorama (“TVP”), a TV station affiliated with Rede Globo in the City of Juiz de Fora. The partnership terms include: i) The acquisition of a 50% equity interest in TVP by RI’s controlling shareholders, ii) The creation of a synergistic platform encompassing certain operating aspects of both companies, iii) Dr. Omar Resende Peres will continue to serve as TVP’s President, and iv) Mr. Rogerio Nery de Siqueira Silva, RI’s CEO, will oversee TVP’s operations. RI is a pioneer in the Brazilian TV market as well as Rede Globo’s first affiliate station, since 1970. RI covers a population of approximately three million in the Triângulo Mineiro region, State of Minas Gerais, with TV stations in the cities of Uberlândia, Araxá and Ituiutaba. TVP is Rede Globo’s affiliate station in the City of Juiz de Fora, State of Minas Gerais. TVP covers a population of approximately two million. TVP’s radio station (Radio Panorama) and newspaper (Jornal Panorama da Mata) will continue to be owned and managed by Dr. Omar Resende Peres. CEA advised RI on the negotiation and structuring of the transaction. Waldo Glasman, Managing Director of CEA’s Latin America Group, led the CEA team of bankers who executed the transaction.
